# Sponsorship Agreement Skeleton

*One-line purpose: a clause-by-clause outline for a club sponsorship agreement so nothing important is left to a handshake.*

## How to use

Use this to structure the first draft and the negotiation checklist — fill every placeholder before sending anything to the sponsor. Anything you agree verbally in the pitch meeting must appear in Schedule 1. Keep the signed PDF and the fulfilment schedule in the same folder; the schedule drives the quarterly report.

## Parties and recitals

- **Club:** [CLUB LEGAL NAME], CIF [TAX ID], registered address [ADDRESS] ("the Club").

- Recitals: one paragraph on the Club's activity, one on the Sponsor's, one stating the intention to enter a sponsorship arrangement.

## 1. Definitions

Define: "Season", "Home Match", "Club Marks", "Sponsor Marks", "Rights" (pointing to Schedule 1), "Category" (the Sponsor's exclusive sector, e.g. [CATEGORY, e.g. retail banking]).

## 2. Grant of rights

- The Club grants the Sponsor the rights listed in **Schedule 1 — Rights Inventory** for the Term.
- Rights are non-transferable without written consent.
- Any use of Club Marks by the Sponsor requires prior written approval of each creative (approval not to be unreasonably withheld, [X] business days to respond).

## 3. Term

- Start: [DATE]. End: [DATE] (end of the [SEASON] season).
- Renewal: [AUTOMATIC RENEWAL / OPTION TO RENEW] — Sponsor holds first-negotiation rights for [X] days before the Club may offer the Category to third parties.

## 4. Exclusivity

## 6. Club obligations

- Deliver the Rights per Schedule 1; maintain asset quality (LED uptime, board condition, kit application).

- Notify the Sponsor of material changes: stadium moves, competition changes, insolvency events.

## 7. Sponsor obligations

- Supply artwork to spec by [DATE]; costs of production of [ASSETS] borne by [PARTY].

- No association implying player personal endorsement without separate agreement.

## 8. Fulfilment and make-goods

## 9. Termination

Either party may terminate with immediate effect on written notice if the other:

- commits a material breach not remedied within [X] days of notice;
- becomes insolvent;
- (Sponsor right) the Club is expelled from its league or ceases first-team activity;
- (Club right) the Sponsor's conduct brings the Club into disrepute.

State the pro-rata refund / payment consequences per termination scenario.

Confidentiality; data protection (GDPR — no fan data transfers unless separately documented); force majeure; assignment; entire agreement; notices (addresses + email); governing law [SPAIN] and jurisdiction [CITY].

## Schedules

1. **Rights Inventory** — every asset, quantity, spec, and placement (copy from the rate card line items sold).
2. **Value-in-kind** — items, valuation, delivery dates.
3. **Existing category carve-outs.**
4. **Approved brand guidelines** for both parties.
